Sub: Certificate pursuant to Regulation 40(9) & 40(11) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 for the Financial Year ended March 31, 2023

We have examined all the documents and requests received for transfer, transmission, transposition, sub-division, consolidation, renewal and endorsement of calls/allotment of monies relating to MIVEN MACHINE TOOLS LIMITED (“MMTL” or “Company”) maintained by BGSE Financials Limited, Bangalore, the Registrar and Transfer Agents (“RTA”)during the Financial Year ended March 31, 2023 for the purpose of compliance with the provisions of Regulation 40(9) and 40(11) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the listing agreement entered into by Miven Machine Tools Limited with the BSE Limited.

Based on the information provided by the RTA and the Company, we hereby certify as under:

• a) Company has not received any transfer deed for transfer of shares which were lodged and rejected owing to deficiencies prior to April 1, 2019 and relodged and company has registered the transfer;

• b) Company has received 9 (Nine) requests for deletion of name of the deceased holder of securities, where the securities are held in the name of two or more holders of securities and the company has processed the same within 30 days of receipt of request;

• c) Company has received 3 (Three) request for transposition of securities, when there is a change in the name of two or more holders of securities and the company has processed the same within 30 days of receipt of request;

• d) Company has not received any requests for sub-division, consolidation, renewal and endorsement of calls/allotment of monies of securities held either in dematerialised form or physical form

• e) Company has not issued any certificates in demat form only after January 25, 2022 and has not issued any certificates in physical form and has complied with the Circular No SEBI/HO/MIRSD/MIRSD_RTAMB/P/CIR/2022/8 dated January 25, 2022 issued by the Securities and Exchange Board of India.
