Mitie Group plc (the "Company") - Voting Rights and Capital

Further to the announcement made on 2 January 2014 and in accordance with the Disclosure and Transparency Rules (DTR 5.6) the Company hereby notifies the market that as at 31 January 2014, the issued share capital and voting rights of the Company were as follows:

Class of share:                                    Ordinary 2.5p

Total number of issued shares:          373,293,137

Voting rights per share:                      1

Total number of voting rights

for each class of issued shares:         367,493,137

Total number of shares held

in treasury:                                          5,800,000

The above figure includes 8,069,045 shares currently held in the Company's employee benefit trust that are excluded from the Company's EPS calculation.

The total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the FSA's Disclosure and Transparency Rules.
