Mitie Group plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons

The Company announces the following transactions in its Ordinary Shares of 2.5p each ("Shares"):

The Company has been notified in accordance with DTR 3.1.2R that on 1 December 2015 the following Directors exercised share options in the Company pursuant to the Company's 2011 Save As You Earn (SAYE). The SAYE options were granted on 11 July 2012 and were due to expire on 1 May 2016.

(b)          Suzanne Baxter is beneficially interested in 260,097 Ordinary Shares (0.07% of the issued share capital of the Company, excluding treasury shares).

This announcement is made in accordance with the requirements of DTR 3.1.4.
