Mitie Group Plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons

The Company announces the following transaction in its Ordinary Shares of 2.5p each ("Shares"):

Further to the announcement made on 29 May 2014, on 23 June 2014 the following Directors sold the Shares received in the Company pursuant to awards made under the Mitie Group Deferred Bonus Plan in May 2012.

Following the above transactions, the interests of the above named directors are as follows:

(a)          Ruby McGregor-Smith is beneficially interested in 565,967 Ordinary Shares (0.15% of the Company);

(b)          Suzanne Baxter is beneficially interested in 214,237 Ordinary Shares (0.06% of the Company); and

(c)           Bill Robson is beneficially interested in 1,624,385 Ordinary Shares (0.43% of the Company).

This announcement is made in accordance with the requirements of DTR 3.1.4.
