MITIE Group PLC (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons

The Company announces the following transactions in its Ordinary Shares of 2.5p each ("Shares"):

(i)    On 28 May 2013, the following Directors received Shares in the Company pursuant to awards made under the MITIE Group Deferred Bonus Plan in May 2011.

(ii)    On 28 May 2013, the Directors were awarded Shares in the Company pursuant to the MITIE Group Deferred Bonus Plan:

These shares are expected to vest in May 2015 subject to continued employment.

Following the above transactions, the interests of the above named directors are as follows:

(a)        Ruby McGregor-Smith is beneficially interested in 619,383 Ordinary Shares (0.17% of the Company);

(b)        Suzanne Claire Baxter is beneficially interested in 248,461Ordinary Shares (0.07% of the Company); and

(c)         William Robson is beneficially interested in 1,657,506 Ordinary Shares (0.45% of the Company).

This announcement is made in accordance with the requirements of DTR 3.1.4.
