Additional Explanations

Yönetim Kurulumuzun 02.05.2025 tarihli toplantısında; 2024 yılına ait Bağımsız Denetim Raporu ve Mali tablolar görüşülmüş ve aşağıdaki hususların 2024 yılı Olağan Genel Kurul Toplantısında, Genel Kurulun bilgisine ve onayına sunulması kararı alınmıştır.

Vergi Usul Kanununa(VUK) göre 2024 yılında 558.870.865,14-TL, Sermaye Piyasası Kurulu'nun Seri XI, No:29 sayılı tebliğine göre 102.213.872,00-TL, vergi öncesi dönem karı oluşmuştur. Türk Ticaret Kanunu, Sermaye Piyasası Kurulu Tebliğleri, Şirket Kar Dağıtım Politikası ve Şirket Esas Sözleşmesinin kar dağıtım maddesi gereğince, Sermaye Piyasası Kurulu'nun Seri XI, No:29 sayılı tebliğine göre oluşan;

1. 2024 yılı VUK kar tutarı üzerinden ise %5 oranında 27.943.543,29-TL tutarında I. Tertip Yedek Akçe ve 5.078.192,28-TL 2. Tertip Yedek Akçe ayrılmasına,

2. Kalan 69.192.136,43 -TL dağıtılabilir karın tamamının pay başına % 14,72899 oranında 22.10.2025 tarihinden itibaren Nakit temettü olarak dağıtılmasına ve bu hususlara ilişkin olarak Genel Kurul'a teklifte bulunulmasına toplantıya katılan üyelerin oybirliği ile karar vermiştir.
