VOTE ON THE MIRVAC GROUP PROPOSAL TO ACQUIRE ALL OF THE UNITS IN THE WESTPAC OFFICE TRUST

By now you should have received your Explanatory Memorandum, Notice of Meeting, and proxy and election forms enabling you to vote on Mirvac’s proposal.

Your independent directors unanimously recommend that you vote in favour of the offer, in the absence of a superior proposal, and encourage you, as a WOT unitholder or IR holder to read the Explanatory Memorandum in full and attend the meeting of WOT unitholders, in person or by proxy or attorney, and vote in favour of the resolutions set out in the Notice of Meeting.

Your vote is important

You can vote:

  1. by proxy, by completing and returning a proxy form; or

  2. in person by attending the meeting to be held in the Brisbane Room, Level 3, Sofitel Sydney Wentworth, 61-101 Phillip Street, Sydney NSW 2000 on Wednesday, 21 July 2010 commencing at 9:30am; or

  3. online at www.westpacfunds.com.au/officetrust.asp and clicking on the “Mirvac Group Offer” and “Vote Now” button.

Proxies, to be effective, must be lodged online or by returning the proxy form so that WOT’s registrar (Link Market Services Limited) receives it by 9:30am on Monday 19 July 2010 .

If you wish to participate in the Cash Option or the Sale Facility (both as defined in the Explanatory Memorandum) your election form must be received by WOT’s registrar (Link Market Services Limited) by 5.00pm on Wednesday, 21 July 2010 .
