SEPTEMBER 2011 INSTALMENT RECEIPT CONVERSION PERIOD

Mirvac Group ("Mirvac") [ASX: MGR] announces the commencement of the September 2011 instalment receipt conversion period.

Instalment Receipt conversion period

Instalment Receipt ("IR") holders have the option to repay their instalment debt and receive Mirvac securities prior to each quarterly record date. The IR conversion period for the September 2011 quarter will be from 26 August 2011 until 5.00pm (Sydney time) on 23 September 2011.

IR holders who elect to repay their instalment debt during this conversion period will receive fullypaid Mirvac securities and the full distribution for the quarter ending 30 September 2011.

Early repayment applications received during this conversion period will be processed on 30 September 2011 and Mirvac securities will be transferred to IR holders within five business days.

IR holders can choose to repay their instalment debt and receive Mirvac securities by completing an Early Repayment of Instalment Debt Notice and mailing it with a cheque for the instalment debt amount to be received by Link Market Services within the conversion period. IR holders may convert any proportion of their IRs to Mirvac securities and should not seek to trade their issued Mirvac securities until they receive a holding statement from the registry. The Early Repayment of Instalment Debt Notice is attached to this announcement and is also available from the investor information section of Mirvac's website at www.mirvac.com, or by calling our information line on 1800 356 444 (within Australia) or +61 2 8280 7107 (outside Australia).

The next opportunity for IR holders to convert their IRs to Mirvac securities by early repayment of their instalment debt will be in December 2011.

Second Instalment Due and Payable

IR holders registered on 19 August 2011 will be sent a notice today outlining the number of IRs they hold and the amount that is due and payable at 5.00pm (Sydney time) on 1 November 2011.

IR holders will continue to be able to sell their investment on or before 27 September 2011 by selling the underlying Mirvac securities which are traded on the ASX under the ASX code of "MGR" and paying all the instalment debt from the sale proceeds.

From 30 September 2011 (the "Record Date") there will be no further trading permitted for the IR holders and the register will be closed for the processing of transfers until after the Second Instalment payment date.

Failure to pay the Second Instalment by the due date may result in Westpac Custodian Nominees Limited, the Security Trustee, selling the underlying Mirvac securities and repaying both the Second and Final Instalment. If there is a shortfall between the Instalments and the sale proceeds, the Security Trustee may recover the shortfall amount from the IR holder, plus may also charge interest and outgoings.

If you choose to convert your IRs during this conversion period and pay the instalment debt of \$0.83752 per IR you hold, you will receive fully paid Mirvac securities and your obligations with respect to your IRs will be extinguished (that is, you would have paid both the Second and Final Instalments).
