Announcement on Abolishment of Supervisory Committee and Amendments to the Articles of Association

In accordance with the relevant requirements of the Company Law of the People's Republic of China (hereafter referred to as the "Company Law"), the Guidelines for Articles of Association of Listed Companies and the Code of Corporate Governance for Listed Companies, and taking into account the actual situation of the Company, the Company will abolish the Supervisory Committee and supervisors, the functions and powers of the Supervisory Committee shall be exercised by the audit committee of the Board of Directors, the Rules for Procedures of the Supervisory Committee will be repealed correspondingly, and the provisions relating to the Supervisory Committee and supervisors in all rules and regulation s of the Company shall be no longer applicable.

Meanwhile, in accordance with the Company Law of the People's Republic of China and the Transitional Arrangements Relating to the Implementation of the New Company Law Supporting Systems and Rules, the Company has carried out a review of its existing corporate governance system and proposes to amend the relevant sections of the Articles of Association of Ming Yang Smart Energy Group Limited. For details, please refer to the Articles of Association of Ming Yang Smart Energy Group Limited as attached.

The matter s above are subject to be submitted to the general meeting of the Company for approval.

At the same time, the amendments to the Articles of Association cover relevant provisions regarding the qualifications for appointment, code of conduct, responsibilities and obligations, and resignation management of the Company's directors and senior management. In order to streamline and optimize the corporate governance system of the listed company, the Self-discipline Code of Conduct for Directors, Supervisors and Senior Management will be repealed simultaneously upon consideration and approval of such amendments to the Articles of Association at the general meeting.
