Item 8.01 Other Events.

On January 20, 2016, the Company's Board of Directors declared a regular quarterly dividend of $0.05 per share on the Company's common stock. The dividend is payable on March 10, 2016 to stockholders of record on February 19, 2016. A copy of the press release announcing the dividend declaration is attached hereto as Exhibit 99.1 and incorporated by reference herein.
