Notice of automatic extension of Offer Period – section 624(2)

Each Norwest shareholder as required under the Corporations Act 2001 (Cth)

Mineral Resources Limited ACN 118 549 910 ( MinRes ) gives notice for the purposes of section 624(2)(b) of the Corporations Act 2001 (Cth) ( Corporations Act ) that its takeover offer ( Offer ) for all of the fully paid ordinary shares in Norwest contained in its bidder’s statement dated 16 December 2022 ( Bidder’s Statement ) (as varied by notice of variation dated 25 January 2023) is automatically extended so that the Offer will now close at 7:00pm (Sydney time) on Thursday, 2 March 2023 (unless further extended or withdrawn).

Capitalised terms in this notice have the same meaning given in the Bidder’s Statement unless the context requires otherwise.

In accordance with section 624(2)(b) of the Corporations Act, MinRes gives notice that:

(a) within the last 7 days of the Offer Period, MinRes’ voting power in Norwest increased to more than 50%; and
(b) because of the event referred to in paragraph (a) and the operation of section 624(2)(b) of the Corporations Act, the Offer (which was scheduled to close at 7:00pm (Sydney time) on Monday, 20 February 2023) has been automatically extended so that it will now close 14 days after the event referred to in paragraph (a).

Accordingly, the Offer will now close at 7:00pm (Sydney time) on Thursday, 2 March 2023 (unless further extended or withdrawn) and all references to the closing date of the Offer referred to in the Bidder’s Statement (including the acceptance forms) (as varied by notice of variation dated 25 January 2023) are varied accordingly.
