Mindax Limited ( Company ) refers to its announcement released earlier today, 15 December 2009 , whereby eligible shareholders will have the opportunity to purchase a parcel of shares up to the value of $15,000 under a share purchase plan offer.

The Company gives notice in accordance with paragraph 7(f)(ii) of ASIC Class Order 09/425 that:

1. the Company will make offers to issue shares under a share purchase plan without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) ( Act );

2. as at the date of this notice, the Company has complied with the provisions of Chapter 2M as they apply to the Company and section 674 of the Act; and

3. as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of subsections 708A(7) and (8) of the Act (as if this notice were a notice under paragraph 708A(5)(e) of the Act).
