ASX ANNOUNCEMENT

SHARES TO BE ISSUED IN LIEU OF CONSULTANCY COSTS

Minbos Resources Limited (“Minbos”, “the Company”) advises that the Board has resolved to issue a total of 10,000,000 fully paid ordinary shares (Shares) in lieu of consultancy fees owed to Industrial Minerals Company of Australia (“IMCOA”) an industrial minerals consultancy company run by Mr. Dudley Kingsnorth. IMCOA has provided due diligence services to Minbos in its preliminary assessment of the Ambato Rare Earths Project. IMCOA has submitted an invoice for $30,000 (including GST) for its consultancy fees to the Company.

This issue of Shares will be made under the Company’s available ASX Listing Rule 7.1 placement capacity and will assist in preserving the Company’s cash resources for application in other areas.

Notice under Section 708A(5)(e) of the Corporations Act 2001 (Cth)

Minbos Resources Limited (“Minbos” or “the Company”) confirms the issue of 10,000,000 securities as consideration for consultancy fees owed to Industrial Minerals Company of Australia (“IMCOA”) an industrial minerals consultancy company run by Mr. Dudley Kingsnorth.

Minbos gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ("Corporations Act") that:

• the Securities have been issued without disclosure to Mr. Kingsnorth under Part 6D.2 of the Corporations Act;

• as at the date of this notice, Minbos has complied with:

• the provisions of Chapter 2M of the Corporations Act as they apply to the Company;

• o section 674 of the Corporations Act; and

• as at the date of this notice, there is no "excluded information" within the meaning of sections 708A(7) and 708A(8) of the Corporations Act which is required to be disclosed under section 708A(6)(e) of the Corporations Act.
