F1: As Trustee of The Parker H. Petit Grantor Trust, Mr. Petit was deemed to be the beneficial owner of the shares held by the Trust. The Trust was established in October 1995. The beneficiaries of the Trust are Mr. Petit's adult children. On April 7, 2014, all shares were distributed to the beneficiaries in accordance with the terms of the Trust.

F2: Number of shares held directly by Mr. Petit, including 163,037 shares of Restricted Stock, which vest in equal installments over first three anniversary dates of the grants.
