Application for Lifting of suspension and Lapsing of Exclusivity Agreement

Milton has had on-going discussions to acquire certain subsidiaries of Horizon Energy Global Corporation ("Horizon") as per the announcement of 8 October 2024 and various update announcements since that date. The Company entered into an Exclusivity Agreement with a view to entering into a Share Purchase Agreement. The Company and Horizon by mutual agreement have agreed not to extend the Exclusivity Agreement.

Notwithstanding that the Exclusivity Agreement has now lapsed, the parties remain in dialogue regarding the possibility of some future business combination. Milton is able to now consider other alternative opportunities. Early-stage screening will now commence on certain alternatives while naturally monitoring developments in respect of Horizon. The Board will set out its plans at the upcoming AGM.

The Company has made application to the Financial Conduct Authority for the restoration of the listing of its ordinary shares of GBP 0.01 ("Ordinary Shares") on the Official List Equity Shares (shell companies) category of the Financial Conduct Authority. A further announcement will be made in due course.
