25 Nisan 2018 tarihli özel durum açıklamamızda duyurulan birleşme başvurusuna ilişkin, Sermaye Piyasası Kurulu'nun 19.07.2018 tarihli bülteninde aşağıdaki ifade yer almaktadır.

" Migros Ticaret A.Ş. (Migros) tarafından Kipa Ticaret A.Ş. (Kipa)'nin tüm aktif ve pasifiyle birlikte bir bütün halinde devralınması suretiyle gerçekleştirilmesi planlanan kolaylaştırılmış usulde birleşme işlemine ilişkin duyuru metninin, bu işlem nedeniyle Migros'un artırılacak sermayesini temsil eden paylarının ihracına ilişkin ihraç belgesinin ve esas sözleşmesinin sermaye maddesinde yapılacak değişikliğe ilişkin tadil metninin Kurulumuzca onaylanması taleplerinin; birleşme işlemi kapsamında gündeme gelen birleşme oranı, değişim oranı ve ayrılma akçesi fiyatının, Migros tarafından 25.12.2017 tarihinde kamuya duyurulan ancak Kipa'nın 02.02.2018 tarihli genel kurul toplantısında iptal edilen Borsa kotundan çıkma işlemi nedeniyle uygulama alanı bulmayan pay alım teklifi fiyatı olan beher Kipa payı için 2,56 TL'den aşağı olmayacak şekilde belirlenmesi suretiyle olumlu karşılanmasına karar verilmiştir."

The following statement, which is related to the merger application dated 25 April 2018, was announced i n the CMB's Bulletin dated 19 July 2018.

" It was decided to give a favorable opinion to the application of Migros Ticaret A.Ş. (Migros) to our Board for the announcement text regarding the planned simplified merger of Migros and Kipa Ticaret A.Ş. (Kipa) through the purchase of Kipa's assets and liabilities as a whole, the issuance certificate of Migros share capital increase as a consequence of this transaction, and the amendment text pertaining to the share capital provision of Articles of Association, provided that considered merger ratio, the share exchange ratio, and the separation fund to be determined based on the price of not less than TL 2.56 which was publicly announced by Migros on 25.12.2017 but later rejected in the General Assembly Meeting of Kipa on 02.02.2018 which was convened for approving the delisting of Kipa shares from the Stock Exchange."
