The following is a Company Announcement issued by MIDI p.l.c. (the "Company") pursuant to the Capital Markets Rules of the Malta Financial Services Authority ("MFSA").

Extraordinary General Meeting

The Company refers to the announcement that an extraordinary general meeting ("EGM") of shareholders will be held at The Phoenicia, Floriana on Tuesday 28 April 2026 at 1500 hours.

The business to be transacted at the EGM shall comprise the consideration of, and if deemed appropriate, the passing of the following Ordinary Resolution – Special Business:

"That the entry into and completion by the Company of a deed of partial rescission in respect of Manoel Island and the Fort Tigne' Site as described in more detail in the explanatory circular to shareholders dated 6 April 2026, issued and published by the Company in accordance with the requirements of, inter alia, Capital Markets Rule 5.163.2 (the "Proposed Transaction") be and are hereby approved, and that the directors of the Company, be and are hereby duly authorised and empowered to do all such things and execute all such documents as they may consider necessary and appropriate for the purpose of executing, implementing and completing the Proposed Transaction."

The Notice of the Meeting, the Circular to Shareholders and other EGM documentation have been dispatched to the shareholders appearing on the Register of Members held by the Central Securities Depository of the Malta Stock Exchange as at close of business on Friday 27 March 2026 (the "Record Date"). The EGM documentation, including the Circular to Shareholders, is also available for viewing on the Company's website on the following link: https://www.midimalta.com/en/egm.
