Item 2.01. Completion of Acquisition or Disposition of Assets.

On February 1, 2006, Microvision, Inc. (the “Company”) completed the sale of 2.55 million shares of Lumera Corporation’s common stock (the “Lumera Shares”) to various purchasers for aggregate net proceeds of $10.3 million.
