Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 11, 2013, effective as of close of business on March 14, 2013, James Johnston, the Company’s Controller, was designated as the Company’s principal financial officer and principal accounting officer. The Company’s former CFO, Jeff Wilson, completed his transition period with the Company pursuant to his earlier announced resignation effective as of the close of business March 14, 2013. Mr. Johnston, age 44, has served as Controller of MicroVision since October 2004. Mr. Johnston joined MicroVision in April 2000 and has also served as Assistant Controller and Accounting Manager. Prior to joining MicroVision, Mr. Johnston served in various accounting positions for Siemens Medical Systems, Inc., a developer and manufacturer of medical imaging equipment. Mr. Johnston holds a B.A. in Business Administration with an Accounting Concentration from the University of Washington.
