Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) On June 13, 2017, the Board of Directors of Microsoft Corporation (the “Company”) amended Sections 2.7 and 2.12(b) of the Company’s Bylaws, to change the quorum for meetings of the Board of Directors and its committees from a majority to fifty percent of members (and no fewer than two in the case of committees).

This description of the amendments to the Bylaws is qualified in its entirety by reference to the text of the Bylaws filed as Exhibit 3.2 to this Report.
