Item 5.03 Amendments to Bylaws

Effective June 14, 2012, the Board of Directors amended the Company’s Bylaws. The amendments to Sections 1.1 and 5.3 of the Bylaws provide additional flexibility for (a) the timing of the Company’s annual meeting of shareholders and (b) methods for delivering to shareholders a record of their share ownership. A copy of the amended Bylaws is attached as Exhibit 3.2.
