BY-LAW NO. 1E

Pursuant to a unanimous written consent of all the directors of the Corporation, the By-law No.1, as amended, of the Corporation is amended effective April 7, 2025 by repealing and removing Section 66. Method of Giving in its entirety and replacing with the following Section 66. Method of Giving Notices:

“Method of Giving Notices

  1. Any notice or document required or permitted to be sent by the Corporation to a shareholder or director may be mailed by prepaid Canadian mail in a sealed or unsealed envelope addressed to, or may be delivered personally to, it’s the last address of such person recorded in the records of the Corporation, or may be sent by electronic means in accordance with the Electronic Commerce Act, 2002 (Ontario). If so mailed, the notice or document shall be deemed to have been received by the addressee on the fifth day after mailing and a notice so provided by electronic means (including by facsimile) shall be deemed to have been sent and received in the manner and at the time specified in the Electronic Commerce Act, 2002 (Ontario). A certificate of any director or officer of the Corporation in office at the time of making of the certificate or of an agent of the Corporation as to facts in relation to the sending of any notice to any shareholder, director, officer or auditor or publication of any notice shall be conclusive evidence thereof and shall be binding on every shareholder, director, officer or auditor of the Corporation, as the case may be.”
