Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

Micro-X Limited ACN 153 273 735 ( Company ) gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Act ).

The Company states as follows:

1. On the following dates the following securities of the Company were issued by way of a private placement as announced to the market on 24 December 2018:

   • a. on 3 January 2019, 6,914,809 ordinary shares and 3,457,402 options were issued; b. on 11 January 2019, 122,222 ordinary shares and 61,111 options were issued; and c. on 7 May 2019, 370,370 ordinary shares and 185,185 options were issued.

2. The placement shares were quoted on ASX on 03 January 2019.

3. The Company relies on section 708A(5)(e) of the Corporations Act (“ Act ”) and notifies ASX, as the relevant market operator of the details required under section 708A(6) of the Act in relation to each of the above issues:

   • a. This notice is given within the time period specified by order of the Federal Court of Australia made on 27 May 2019, and is deemed to take effect as if it had been given to ASX on within 5 business days after the dates of the issue of the shares specified in paras (a) – (c) above;

   • b. The Company issued the above ordinary shares without disclosure to investors under Part 6D.2 of the Act;

   • c. This notice is given under section 708A(5)(e) of the Act;

   • d. As at the date of each issue and up to the date of this notice, the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company and section 674 of the Act;

• e. As at the date of each issue and up to the date of this notice, there is no excluded information (as defined by sections 708A(7) and 708A(8) of the Act) that would need to be included in this notice.
