Şirketimizin yatırım stratejisi uyarınca ve halka arz sonucunda elde edilen fonun kullanım yerlerine ilişkin 27 Eylül 2023  tarihli "Sermaye Artırımından Elde Edilecek Fonun Kullanım Yerlerine İlişkin Yönetim Kurulu Raporu" 3. maddesinde yer alan "Şirket'in gayrimenkul portföyünün genişletilmesi amacıyla iktisap edilecek yeni gayrimenkullerin (arsa, arazi,  yapımı başlamış veya tamamlanmış gayrimenkul vb.) finansmanı ile ileride portföye dahil edilebilecek arsa ve araziler üzerinde geliştirilecek inşaat projelerinin finansmanı" kapsamında değerlendirilmek üzere;

Ünlü Doğan (Arsa sahibi) mülkiyetindeki, İstanbul ili, Çekmeköy ilçesi, Reşadiye Mahallesi, 598 ada 1, 3, 6 ve 7 no.lu parseller ve 0 ada 692 ve 923 no.lu parsellerde kayıtlı taşınmazların üzerinde villalardan oluşan  bir gayrimenkul projesi geliştirilmesine,

Söz konusu projeye ait bağımsız bölümlerin paylaşımının, değer olarak %54,17'si MHR GYO'ya, %45,83'ü arsa sahibine ait olmak üzere, 08 Kasım 2024 tarihinde "Taşınmaz Satış Vaadi ve Kat Karşılığı İnşaat İşlerine İlişkin Proje Geliştirme Sözleşmesi" imzalanmasına karar verilmiş ve aynı tarihte sözleşme imzalanmıştır.

Söz konusu projeye ilişkin tevhit işlemlerinin tamamlanmasının ardından alıncak inşaat ruhsat sonrası değerleme raporu yaptırılarak KAP'ta açıklanacaktır.

In accordance with the investment strategy of our Company and within the scope of the "financing of new real estates (land, land, real estate started or completed, etc.) to be  acquired for the purpose of expanding the real estate portfolio of the Company and financing of construction projects to be developed on lands and lands that may be included in  the portfolio in the future" as stated in Article 3 of the "Report of the Board of Directors on the Uses of the Funds to be Obtained from the Capital Increase" dated September 27,  2023 regarding the uses of the funds obtained as a result of the public offering;

To develop a real estate project consisting of villas on the immovable properties owned by Ünlü Doğan (Land owner) and registered in Istanbul province, Çekmeköy district, Reşadiye neighborhood, block 598, parcels 1, 3, 6 and 7 and block 0, parcels 692 and 923,

It has been decided to sign a "Project Development Agreement Regarding Immovable Sales Promise and Construction Works in Return for Flats" on November 08, 2024, with 54.17% of the value of the sharing of the independent sections of the said project belonging to MHR GYO AŞ and 45.83% belonging to the land owner, and the contract was signed on the same date.

After the completion of the unification procedures for the project, a valuation report will be made after the construction license to be obtained and will be disclosed on KAP.
