Dr. Hatice KARA

EDUCATION AND ACADEMIC LIFE

Born in Tarsus in 1966, he completed his primary, secondary, and high school education in Tarsus. In 1983, he was admitted to the Department of Business Administration at the Faculty of Political Sciences at Ankara University, graduating in 1987. In 1992, he received a master's degree in business administration from the Department of Business Administration at the Institute of Social Sciences, A.Ü. In 1997, he received a master's degree in business administration and finance from the University of Maryland in the USA. In 2002, he received a PhD from the Department of Business Administration at the Institute of Social Sciences, Hacettepe University. His thesis studies are titled "Company Takeovers" and "Holdings, Holding Formation, and Their Effects." He has published a book titled "EVA (Economic Value Added) as a Financial Performance Measure Based on Value Added."

WORK EXPERIENCE

He began working as an assistant expert at the Capital Markets Board Supervision Department on October 1, 1987, became an expert in 1991, and a chief expert in 2000.

From September 10, 2002, to November 15, 2005, he served as Deputy Director of the Market Supervision and Regulation Department at the Capital Markets Board.

While serving as Chief Expert at the Capital Markets Board Supervision Department, he served as a Member of the Asset Management Board at the Investor Compensation Center for two years (April 1, 2013-March 15, 2015).

He left the Capital Markets Board on May 15, 2016. Between May 16, 2016, and September 30, 2018, he served as Corporate Governance and Capital Markets Regulation Compliance Coordinator at Akkök Holding A.Ş. In addition to this role, he also served as a Board Member of Üçgen Bakım ve Yönetim Hizmetleri A.Ş., one of the group companies of Akkök Holding, from June 20, 2017 to October 1, 2018.

As of October 1, 2018, he began operating a consulting company bearing his own name. He currently provides consulting services in the areas of finance, capital markets legislation and related regulations, corporate governance, and sustainability to many companies operating in various sectors such as energy, real estate, construction, textiles, chemicals, and brokerage services, including publicly traded companies, real estate investment trusts, and brokerage firms.

Since January 27, 2022, he has served as an Independent Board Member at Sekuro Plastik Ambalaj Sanayi A.Ş., a publicly traded company whose shares are traded on the Borsa Istanbul.

Since January 20, 2023, he has served as a Board Member at WH Last Stop Teknoloji A.Ş., which is engaged in activities related to blockchain technologies and crypto asset trading.

Since March 2025, he has served as an Independent Board Member at Doğuş Gayrimenkul Yatırım Ortaklığı A.Ş., a company operating in the real estate sector and whose shares are traded on the Istanbul Stock Exchange.

Since May 2025, he has served as an Independent Board Member at Kent Gıda Maddeleri Sanayi ve Ticaret A.Ş., which operates in the global food sector under the Mondelez International umbrella with products such as confectionery, chocolate, and chewing gum, and whose shares are traded on the Borsa Istanbul.

SECTORAL ACTIVITIES

Capital markets committees within the Turkish Industrialists' and Businessmen's Association (TÜSSİAD) and the Corporate Governance Association of Turkey (TKYD); He is actively involved in the Real Estate Investment Trust Committee within the Real Estate Investment Trust Association (GYODER) and the Investment Trusts Professional Committee of the Board of Directors of the Turkish Capital Markets Association (TSPB).

He teaches finance, capital markets legislation, and corporate governance in training programs organized by TSPB, TKYD, and the Turkish Investor Relations Association (TÜYİD), as well as at various universities.

LICENSES

He holds the Advanced Capital Markets Activities License, Real Estate Appraisal Expertise License, Corporate Governance Rating Expertise License, Credit Rating Expertise License, Derivatives License, Independent Audit License, and TÜBİTAK Quality Control Management Certificate. He is fluent in English.
