RE: Your client Cambrian Mining plc, our client Gallagher Holdings Limited Sale and Purchase of 109,730,811 shares in Mount Gibson fron Limited (the "Sale Shares")
We act for Gallagher Holdings Limited which is due to purchase the Sale Shares from your client pursuant to a stock transfer form, a copy of which is attached hereto for the sum of AUS\$98,757,730. Your clients have agreed to accept the US dollar sum of US\$76,596,495.31 (the "Dollar Consideration") in satisfaction of the consideration.
Upon production to us of evidence in a form reasonably satisfactory to us of the transfer of ownership of the Sale Shares to Gallagher Holdings Limited, we undertake to hold the Dollar Consideration to your order and immediately transfer the same to your client account.
You hereby confirm to us on behalf of your client that it will use its best endeavours to obtain the aforementioned evidence and to obtain the discharge of any charges and any other lien or right over the Sale Shares and confirmation that any floating charge over the Sale Shares has not crystallised as at the date of completion of the registration of the Sale Shares in the name of our client. We undertake on behalf of our client that it will use its best endeavours to provide any reasonable assistance you or your client may require to fulfil these obligations.
If the aforementioned evidence is not produced to us by 5pm GMT on or before the tenth business day in the United Kingdom after today's date, i.e. 8 November 2006, then this undertaking will automatically be discharged and the transfer of the Sale Shares will be considered vold and we
