Roth & Rau AG decided on capital increase of up to 1,379,999 new shares
Hohenstein-Ernstthal, 10 February 2010 - The management board of Roth & Rau
AG has, with the consent of the Supervisory Board, resolved to implement a
capital increase, using part of its authorized capital, to increase the
company's share capital from EUR 13,800,000 by up to EUR 1,379,999 to a
total of up to EUR 15,179,999 by issuing up to 1,379,999 new ordinary
bearer shares (with no par value) against cash contributions. The
pre-emptive rights of existing shareholders have been excluded. The new
shares will be entitled to dividends for 2009.
The issue proceeds will be used to strengthen the company's balance sheet
and to finance part of the recently announced acquisition of OTB Solar B.V.
The new shares will be offered today in a private placement to qualified
investors in Germany and internationally (excluding the U.S., Canada,
Australia and Japan) by way of an accelerated bookbuilding process, by
which the placement price and the final number of new shares will be
determined. Application will be made for admissions of the new shares to
trading on the regulated market of the Frankfurt Stock Exchange with a
simultaneous listing on the Prime Standard segment of the Frankfurt Stock
Exchange.
Credit Suisse Securities (Europe) Limited acts as sole bookrunner in this
issue. To ensure a proper allocation and delivery of the shares placed to
investors, the founders of the company may make available to the sole
bookrunner existing shares of the company in the form of a securities loan.
In such an event, the sole bookrunner will make use of such shares only to
execute the placement to qualified investors.
