("PHP LP"), a partnership that owns 99% of its limited partnership interests, and 1% to Population Health Partners GP, LLC ("PHP GP LLC"), its sole general partner and owner of 1% of its limited partnership interests. PHP GP LLC is the sole general partner of Validae and PHP LP, and PHP GP LLC may be deemed to beneficially own the shares of common stock of the Company held by Validae and by PHP LP. Christopher Whitten Bernard, Christopher T. Cox and Clive A. Meanwell are members of PHP GP LLC and may be deemed to share the power to direct the disposition and vote of the shares of common stock of the Company held by the Validae, PHP GP LLC, and PHP LP.
