nd Notice is hereby given that the 32 Annual General Meeting (AGM) of the Company will be held on Friday, September 27, 2024 at 11:30 a.m. (IST) through Video Conferencing (VC) or Other Audio Visual Means (OAVM), in compliance with the applicable provisions of the Companies Act, 2013 and in compliance with the procedure prescribed in circular Nos. 14/2020, 17/2020, 20/2020, 10/2022 and 09/2023 issued by the Ministry of Corporate Affairs and circular number SEBI/HO/CFD/CFD-PoD-2/P/CIR/2023/167 dated October 7, 2023 issued by the Securities and Exchange Board of India.

The Annual Report including Notice of the AGM which includes the process and manner of attending the AGM through VC and e-voting and other documents were e-mailed to all the Members whose e-mail addresses are registered with the Company or Depository participants. The requirements of sending physical copy of the Notice nd of the 32 AGM and Annual Report to the Members have been dispensed. The Copy of Notice of AGM and Annual Report is also available on the Company's website at www.metrogloballimited.com and on the CDSL website at www.evotingindia.com.

Members are requested to note that a dividend of Rs. 2/- per equity share (i.e. 20%) has been recommended by the Board of Directors for the financial year ended on March 31, 2024, subject to the approval of the members at the ensuing AGM. The Company has fixed Friday, September 20, 2024, as 'Record Date' for determining entitlement of Shareholders for receiving Dividend. Necessary information in this regard is provided in the notice convening the AGM of the Company.

The Company is pleased to provide to the Members the facility to exercise their right to vote prior to AGM and during AGM by electronic means and the business may be transacted through remote e-voting services provided by Central Depository Services (India) Limited ("CDSL"). The remote e-voting will commence on Tuesday, September 24, 2024 at 9:00 a.m. and will end Thursday, September 26, 2024 at 5:00 p.m. The Members holding shares on Friday, September 20, 2024 (cut-off date) will be entitled to exercise their voting rights through remote e-voting. The remote e-voting will not be allowed beyond its end time. The Members exercising to vote through remote e-voting can attend the AGM but will not be allowed to vote again during the AGM.
