Subject: Intimation of Proposed Acquisition of Overseas Entity under Regulation 30 of SEBI (LODR) Regulations, 2015

Dear Sir/Madam,

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, we wish to inform you that Methodhub Software Limited (“the Company”), is evaluating a potential acquisition of an entity incorporated in USA.

In this regard, the Company have entered into a Non-Disclosure Agreement (NDA) with the concerned parties. In view of the confidentiality obligations under the said agreement, the name and other details of the target entity are not being disclosed at this stage.

The proposed transaction is currently subject to the conduct and completion of detailed due diligence by the Company. Upon satisfactory completion of the due diligence process, the Company proposes to enter into definitive agreements, including a Share Purchase Agreement, for acquisition of up to 100% of the equity share capital of the said foreign entity.

The Company shall make appropriate disclosures as and when there are further material developments in this regard, in compliance with applicable provisions of the SEBI (LODR) Regulations, 2015.
