Item 1.01 Entry into a Material Definitive Agreement.

As of January 31, 2006, Methode Electronics, Inc. and certain of its subsidiaries ("Methode") entered into an amendment to its Credit Agreement dated as of December 19, 2002 (as amended) among Methode as the Borrower, Bank of America, N.A., as Administrative Agent and L/C Issuer, and The Other Lenders (the "Amendment"). The Amendment, among other things, extends the maturity date from January 31, 2006 to January 31, 2011, increases the credit facility commitment from $30 million to $75 million and reduces the interest and commitment fee rates. The foregoing description of the Amendment is not complete and is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed as Exhibit 10.1 herewith and is incorporated herein by reference.
