Cleansing Notice – Section 708A(5)(e)

Meteoric Resources NL ( ASX: MEI ) ( Meteoric or the Company ) refers to its announcement on 26 July 2024 regarding a $27.5 million capital raising, which was conducted via a placement to sophisticated and professional investors, pursuant to Section 708A of the Corporations Act 2001 ( Placement ). The Placement comprised the issue of 250,000,000 fully paid ordinary shares ( Shares ) at an issue price of $0.11 per Share ( Placement Shares ).

The Company issued the Placement Shares on 2 August 2024. The issue of these Placement Shares falls within Meteoric's 15% capacity for issues of equity securities without shareholder approval afforded by ASX Listing Rule 7.1.

In accordance with section 708A(5)(e) of the Corporations Act 2001 (Cth) (Act), the Company advises as follows:

• (a) this notice is being given under paragraph 708A(5)(e) of the Act;

• (b) the Company issued the Placement Shares without disclosure to investors under Part 6D.2 of the Act;

• (c) as at the date of this notice, the Company has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to the Company; and

  • (ii) section 674 and 674A of the Act; and

• (d) as at the date of this notice, there is no information:

  • (i) that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and

  • (ii) that investors and their professional advisors would reasonably require for the purpose of making an informed assessment of:

    • A. the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

    • B. the rights and liabilities attaching to the Placement Shares.
