NOTICE UNDER SECTION 708A(5)(E) CORPORATIONS ACT

The Directors of Meteoric Resources NL wish to announce that 136,708,795 fully paid ordinary shares (Shares) have been issued pursuant to resolutions passed at a General Meeting of Members held on Monday 14 August 2017. That meeting considered the matters detailed in the Company’s release to ASX on 26 May 2017.

The issues comprise:

1. 62,800,000 Shares as the second tranche of a capital raise totalling $1,386,000;

2. 60,000,000 Shares issued to shareholders of Cobalt Canada Pty Ltd for 100% of its share capital in accordance with a Share Purchase Agreement;

3. 6,348,795 Shares issued to acquire 100% interest in Canadian tenements in accordance with Claim Sale Agreements; and

4. 7,560,000 Shares issued in lieu of placement fees to parties who assisted with the fund raising.

Funds raised will be applied towards finalising the cash component of the approved acquisition of Cobalt Canada Pty Ltd, exploration activities across the Company’s portfolio of tenements and general working capital.

Accordingly, the Company gives notice under Section 708A(5)(e) of the Corporations Act 2001 (the Act) that the Shares were issued without disclosure under Part 6D.2 of the Act; and

1. As at the date of this notice, the Company has complied with:

   • A. The provisions of Chapter 2M of the Act as they apply to the Company; and B. Section 674 of the Act.

2. As at the date of the notice, there is no “excluded information” (as defined in Section 708A(7) of the Act) which is required to be disclosed by the Company.
