WINSOME RESOURCES LIMITED – PRIORITY OFFER TO METALSTECH LIMITED SHAREHOLDERS NOW OPEN

MetalsTech Limited (ASX: MTC) ( MetalsTech ) is pleased to advise that the priority offer of Winsome Resources Limited ( Winsome ) shares to eligible shareholders of MetalsTech of up to a total of 10,000,000 Shares to raise a maximum of $2,000,000 ( Priority Offer ) is now open.

The Priority Offer forms part of the initial public offer of 75,000,000 fully paid ordinary shares in the capital of Winsome at an issue price of $0.20 per Share to raise $15,000,000, which also opened today.

WINSOME RESOURCES LIMITED – PRIORITY OFFER TO SHAREHOLDERS OF METALSTECH LIMITED

Winsome Resources Limited (ACN 649 009 889) ( Winsome or the Company ) lodged its IPO prospectus with the Australian Securities & Investments Commission ( ASIC ) on 11 October 2021 ( Prospectus ). The Prospectus contains an initial public offer of 75,000,000 fully paid ordinary shares in the capital of the Company ( Shares ) at an issue price of $0.20 per Share to raise $15,000,000 ( Offer ).

As part of the Offer, the Company is making a priority offer to eligible shareholders of MetalsTech Limited (ACN 612 100 464) ( MetalsTech ) ( Priority Offer ) of up to a total of 10,000,000 Shares to raise a maximum of $2,000,000 ( Priority Allocation ). The Priority Offer is being made to all shareholders of MetalsTech named on its register of members at 5:00 pm (WST) on 7 October 2021 ( Record Date ) ( Eligible MetalsTech Shareholders ).

The final allocations of shares under the Offer remains at the sole discretion of the Directors of Winsome to ensure that Winsome has an appropriate shareholder base on admission to the Official List of ASX.

There is no assurance that any applicant will be allocated any shares, or the number of shares for which it has applied.

The closing date for the Priority Offer is 5:00pm (WST) on 1 November 2021 (Closing Date), or such earlier or later date as the directors, in their absolute discretion, may determine. The Company reserves the right to extend the Priority Offer Closing Date or close the Priority Offer early without notice.

As an Eligible MetalsTech Shareholder under the Priority Offer, you may:
