Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 18, 2018, Facebook, Inc. (the “Company”) filed a Current Report on Form 8-K disclosing, among other things, that Kenneth I. Chenault was appointed to the Company’s Board of Directors (the “Board”), effective February 5, 2018. At the time of the appointment, the Board had not made a final determination regarding the committees of the Board to which Mr. Chenault would be appointed. On May 7, 2018, the Board appointed Mr. Chenault to the Audit Committee of the Board, effective immediately.
