Şirketimiz ile GEM Global Yield Fund LLC SCS ve GEM Investments America, LLC ile Şirketimiz ortakları MERKO Holding A.Ş. ile Aetna SA arasında imzalanmış olan 26.1.2018 tarihli Sermaye İştirak Taahhüdü ve Pay Ödünç Sözleşmesi ( Subscription Commitment and Share Lending Agreement ) çerçevesinde, Şirketimizce GEM Global Yield Fund LLC SCS'ye tahsisli olarak verilmek üzere 11.000.000 adet Şirketimiz payı için ortaklık varantı ihraç talebi ile 27.02.2018 tarihinde Sermaye Piyasası Kurulu nezdinde başvuruda bulunulmuştur.

Bahse konu varantlar hak sahiplerine Sözleşme tarihini takip eden 3 yıl süre ile 1.50 TL beher pay bedeli karşılığında 11.000.000 adet pay için Şirketimiz sermayesine iştirak etme talebinde bulunma hakkı verecektir. Şirketimiz, varantların kullanılması halinde kullanım tarihi itibariyle hesaplanan pay bedelini ödemek suretiyle de hak sahiplerinin talebini karşılayabilecektir. Söz konusu pay bedeli, dönem içerisinde Şirketimiz paylarının piyasa fiyatına bağlı olarak bazı ayarlamalara tabi olabilecektir.

Bu süreç dahilinde ortaya çıkacak, Şirket hisselerinin değerini ve/veya yatırımcıların kararını etkileyebilecek nitelikteki hususlar ve işlemlere ilişkin gelişmeler derhal kamuya açıklanacaktır.

Tasarruf sahiplerimizin ve kamuoyunun bilgisine sunulur.

Within the scope of the Subscription Commitment and Share Lending Agreement dated 26.1.2018, signed by and between our Company and GEM Global Yield Fund LLC SCS and GEM Investments America, LLC and shareholders of our Company MERKO Holding A.Ş. and Aetna SA, an application to the Capital Market Board has been made by our Company on 27.02.2018 for the issuance of company warrants relating to 11.000.000 shares of our Company which will be subject to private placement on behalf of GEM Global Yield Fund LLC SCS.

The aforementioned warrants will grant their holders the right to request subscription to our Company's share capital for 11.000.000 shares with the share price of TRY 1.50 each, for 3 years following the date of Agreement. In case of exercise of the warrants, our Company may also fulfill the rightholders' request by payment of the share price which will be calculated on the exercise date. The share price above may be subject to certain adjustments depending on the market price.

Developments to be occurred within this time period, which may affect the value of the Company shares and/or investment decision of the investors, shall be duly disclosed to public.
