Main Text of the Report:

Further to the immediate report dated November 12, 2025 (reference number: 2025-01-086435), the company hereby announces that on January 11, 2026, the company signed an agreement with S.I.B Ltd. (hereinafter: "the seller") and I.R.N Israel Ltd. (hereinafter: "I.R.N"), for the purchase of the remaining (30%) shares of I.R.N by the company. After this purchase, the company will hold 100% of the shares of I.R.N. The said share purchase is for consideration of approximately NIS 230 million, based on a company value of approximately NIS 770 million. For more details regarding the results of I.R.N, see the details in the company's financial statements as of August 30, 2025, as published in the immediate report dated November 30, 2025 (reference number: 2025-01-094062).

It should be noted that the agreement replaces the existing agreements between the company and the seller and I.R.N, and that the required regulatory approvals for the completion of the transaction, especially the approval of the Commissioner of Capital Markets, Insurance, and Savings, have been obtained.
