NOTICE OF 29" ANNUAL GENERAL MEETING AND E-VOTING INFORMATION
In accordance with the aforesaid MCA and SEBI circulars, the Company is sending the Notice of 29" AGM along with Annual Report for the financial year ended 31° March, 2020 through electronic mode, to those members whose email addresses are registered with the Company/Depositories. The Annual Report for the financial year 2019-20 will also be available and can be downloaded from the Company's website www.menonbearings.in, website of BSE Limited www.bseindia.com, National Stock Exchange India Limited www.nseindia.com, and website of Link Intime India Pvt. Ltd. (LIIPL) https://instavote.linkintime.co.in.
In compliance with Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 as amended from time to time and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the members are provided with the facility to cast their votes on all resolutions set forth in the Notice of 29" AGM using electronic voting system (e-voting) provided by LIIPL. Detailed procedure for remote e-voting / e-voting during the meeting is provided in the Notice of the 29" AGM. The voting rights of the Members shall be in proportion to the equity shares held by them in the paid-up equity share capital ofthe Company as on Friday, 14August2020 ('cut-off date').

The remote e-voting period commences on Tuesday, 18" August, 2020 (from 9.00 a.m. IST) and ends on Thursday, 20"August, 2020 (upto 5.00 p.m. IST). During this period, Members may cast their vote electronically. The remote e-voting module shall be disabled by LIIPL thereafter. Those Members, who shall be present in the AGM through VC/OAVM facility and had not cast their votes on the Resolutions through remote e-voting and are otherwise not barred from doing so, shall be eligible to vote through evoting system during the AGM. The Members who have cast their votes by remote e-voting prior to the AGM may also attend/participate in the AGM through VC/OAVM but shall not be entitled to cast their votes again.
Any person, who acquires shares of the Company and becomes a Member of the Company after the Notice has been sent electronically by the Company, and holds shares as of the cut-off date, may obtain the login ID and password by sending a request to [email protected].
Pursuant to the provisions of Section 91 of the Companies Act, 2013 and Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Register of Members and the Share Transfer books of the Company will remain closed from Saturday, 15" August, 2020 to Friday, 21° August, 2020 (both days inclusive) for 29" Annual General Meeting.

Due to continuing Covid - 19 pandemic, Ministry of Corporate Affairs (MCA) has vide its circular dated 5" May, 2020 read with circulars dated 8th April, 2020 and 13" April, 2020 (collectively referred to as "MCA Circulars") and SEBI circular dated 12" May, 2020, permitted holding AGM through VS or OAVM without physical presence of the Members at common venue.
