Memphasys Limited (ASX:MEM) ( Memphasys or Company ) refers to its Prospectus dated 20 September 2024, as supplemented by the Supplementary Prospectus dated 8 October 2024 and the Second Supplementary Prospectus dated 29 November 2024 (together, the Prospectus ). Unless otherwise stated in this release, defined terms have the same meaning as in the Prospectus.
Memphasys is pleased to announce the results of the Top Up Offer.
The Company has raised $47,500 under the Top Up Offer from the issue of 7,933,333 ordinary shares (Shares) and 7,933,333 Attaching Options (exercise price $0.011, exercise date 20 December 2026), which is in addition to the $1.857 million raised from its Placement and SPP offers as previously completed on 5 November 2024.
The issue price of the Shares issued under the Top Up Offer is $0.006, being the same price as Shares issued under both the SPP Offer and Placement Offer.

Memphasys received Shareholder approval for the issue of Shares and Attaching Options under the Top Up Offer at the General Meeting held on 25 October 2024.
