NuSep Receives S$6m Investment in its Singapore Plasma Business

Sydney, Australia 14[th] August 2012 - NuSep (ASX: NSP) is pleased to advise the market that it has signed agreements with the Singapore based A-Bio Pharma Pte Ltd, a subsidiary of Luye Pharma Group (SGX:LUYE) ( Luye ) for them to invest S$6m (A$4.6m) for 10% of NuSep’s Singapore plasma fractionation subsidiary, PrIME Biologics Pte Ltd ( PrIME ). This values PrIME at S$60m (A$46m).

This investment by Luye consists of S$3.5m for the fit out and equipment of the A-Bio facility and a further S$2.5m for the facilities cGMP approval documentation. This facility was previously approved to manufacture therapeutic products by the Singapore Health Sciences Authority ( HSA ). It is expected that this previous approval will shorten the time to market for PrIME by at least 6 months.

NuSep will issue Luye with 6,000,000 shares in PrIME for this S$6m investment which represents a 10% shareholding in PrIME. NuSep currently holds the remaining 90%, but expects to sell this holding down to approximately 50% as additional investors subscribe for shares in PrIME.

Luye also has an option to increase their shareholding from the current 10% to 20% by investing a further S$6m in PrIME shares.

“This S$6m investment is a critical milestone as it represents the first investment by a pharma company into our PrIME technology and signals the start of operations in Singapore.” said NuSep Holdings’ Chairman, John Manusu.

NuSep Holdings’ Managing Director, Dr Hari Nair added that “The purchase of the A-Bio facility is expected to shorten the time to market for PrIME’s first therapeutic product by some 6 months as the A-Bio facility has previously been approved by the Singapore HSA. Further, this A$46m PrIME valuation is only for the therapeutic plasma application of NuSep’s PrIME technology and doesn’t include any other applications such as recombinant therapeutics.”

This S$6m investment by Luye will immediately allow PrIME to:

  1. Activate the PrIME therapeutic plasma product business plan;

  2. Establish a physical presence for Prime Biologics in Singapore;

  3. Start the preparation work for the A-Bio manufacturing facility; 4. Place orders with NuSep for S$1.1m (A$840,000) of PrIME manufacturing units;

  4. Place orders with NuSep for separation membranes; and

  5. Begin appointment of key personnel.

A-Bio Facility

The A-Bio facility is located at Level 1, 41, Science Park Road, #04/11, The Gemini, Singapore Science Park II, Singapore 117610. This is approximately a 2,000m[2] therapeutic manufacturing facility that was purpose built by the Singapore Government in 2000 to meet the FDA, EMA, TGA and HSA standards and is still a state of the art cGMP registrable therapeutic manufacturing facility.

PrIME is in the process of finalising negotiations to lease the A-Bio space from Ascendas-REIT, the Singaporean landlord, and expects to complete this transaction by mid September 2012.

This facility has previously been validated by the Singapore Health Sciences Authority ( HSA ) to comply with current Good Manufacturing Production ( cGMP ). This is the regulatory approval required before therapeutic manufacturing can be undertaken. PrIME will install the PrIME fractionation units and then apply to have the facility revalidated by the HSA.

The facility is large enough that PrIME will be able to run two production lines - one for normal regulated plasma and a second for the Indian CUP product.

ABS Novacell Biopharmaceuticals Ltd (ABS)

ABS has made significant progress in its funding, which will now be focused on establishing an Indian PrIME facility. In the meantime, ABS and NuSep are finalising the Indian CUP supply agreement. The acquisition of the A-Bio facility should enable PrIME to start processing the Indian CUP material at least 6 months ahead of the planned and budgeted timeline.

About PrIME Biologics Pte Ltd

PrIME Biologics is a Singapore based biotech company that has developed a disposable procedure for the processing of plasma proteins. Prior to this announcement PrIME Biologics was a wholly owned subsidiary of NuSep Holdings Limited (ASX: NSP). PrIME Biologics process is based on the Pr eparative I solation by M embrane E lectrophoresis (PrIME) technology developed by NuSep. PrIME provides disposable modular processing that is ‘electronically’ driven membrane fractionation.
