Results of General Meeting and Annual General Meeting

Result of General Meeting

Melrose Industries PLC (the "Company") is pleased to announce that an ordinary resolution in connection with the disposal of its Nortek Air Management business was passed by shareholders at a general meeting held today at 10.00 a.m. Further details of the resolution are set out in the circular, which was published and posted to shareholders on 20 April 2021.

Completion of the disposal is expected to occur in the second or third quarter of 2021 and is conditional upon, amongst other things, customary antitrust approvals.

In accordance with the Company's obligations under Listing Rule 9.6.2, a copy of the resolution for the General Meeting has been submitted to the National Storage Mechanism and will shortly be available for viewing at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

Results of Annual General Meeting

Melrose is also pleased to announce that at the Company's Annual General Meeting held today at 11.00 a.m., each of the seventeen proposed Ordinary Resolutions and four Special Resolutions was passed on a poll.

Further details of each of the resolutions are set out in the Notice of Meeting, which was sent to shareholders on 31 March 2021.
