According to Belgian law, a shareholder whose direct or indirect stake reaches, exceeds or drops below a threshold of 5% or any multiple of 5% has to disclose this. Melexis NV has not provided for any threshold provision in its articles of association, by which the legal threshold of 5% and all of its multiples is applicable.

In accordance with the stipulations of Title II of the Law of May 2nd, 2007 and the Royal Decree of February 14th 2008, Xtrion NV has notified Melexis NV that on February 23rd 2011 the total participation of its affiliates has passed the threshold of 55% of the shares issued by Melexis NV.

The total participation includes the share participation held by Melexis Tessenderlo NV and Melexis NV, which jointly passed the threshold of 5%.

Number of shares held by Xtrion NV: 21.644.399 Number of corresponding votes held by Xtrion NV: 21.644.399 Representing 50,05 % of the total votes.

Number of shares held by Melexis NV: 1.661.726 Number of corresponding votes held by Melexis NV: 1.661.726 Representing 3,84 % of the total votes.

Number of shares held by Melexis Tessenderlo NV: 504.471 Number of corresponding votes held by Melexis Tessenderlo NV: 504.471 Representing 1,17 % of the total votes.
