Item 2.02. Results of Operations and Financial Condition

Medtronic plc (the “Company”) is furnishing this Form 8-K/A to correct the “currency impact” line item in the GAAP to non-GAAP reconciliations attached to the earnings release issued by the Company on May 27, 2021 (the “Original Earnings Release”). The currency adjustment in the GAAP to non-GAAP reconciliations added amounts for currency impacts for certain items when such amounts should have been deducted. Currency impacts were accurately presented in all of the revenue tables attached to the Original Earnings Release and all financial metrics presented in the Original Earnings Release were correct other than the currency impact line item and corresponding currency impact adjusted measures in the GAAP to non-GAAP reconciliations attached to the Original Earnings Release. The Original Earnings Release and related financial tables have been corrected in the earnings release attached as Exhibit 99.1 to this Form 8-K/A. The information contained within this corrected earnings release amends and supersedes the information contained within the Original Earnings Release.
