The Company is pleased to announce important updates to its leadership team, effective 1 September 2025.

The Company will transition from a single Chief Executive Officer to a Co-Chief Executive Officer leadership model. Under this new structure:

  • Olivier Bernard, holder of French passport with number 24HA45775 will serve as Co-Chief Executive Officer, with primary responsibility for finance, human resources, information technology and strategy.
  • Carmelo sive Karl Bartolo, holder of Maltese identity card with number 235478(M), will serve as Co-Chief Executive Officer, with primary responsibility for business development and operations.

The current Chief Executive Officer, David O'Connor, holder of South African passport with number M00185998, will transition to the position of Executive Chairman of the board of directors of the Company (the "Board"). The Board expresses its appreciation for Mr. O'Connor's leadership and significant contribution to the Company during his tenure as Chief Executive Officer.

Anthony Diacono, holder of Maltese identity card with number 500953(M), has been appointed Vice Chairman of the Board. Mr. Diacono has been a director of the Company since 2001 and previously occupied the position of Chairman of the Board.

It is hereby confirmed that there is no further matter concerning the above requiring disclosure under Capital Markets Rules 5.20.5 to 5.20.9.

These changes reflect the Company's continued commitment to strengthening its organisation and positioning the Company for future growth and success. The Board is confident that this new governance and leadership model will ensure continuity and position the Company for sustainable success in the years ahead.
