DESPATCH OF CIRCULAR

Reference is made to the announcement of the Company dated 16 July 2009 (the “Announcement”) in relation to the major and connected transaction: Acquisition of the Target Group from Qingdao Hisense Air-Conditioning Company Limited and application for Whitewash Waiver and resumption of trading. Unless defined otherwise, capitalized terms used in this announcement have the same meanings ascribed to them in the Announcement.

The Board announces that the circular in relation to the Acquisition and the Whitewash Waiver was dispatched to the Shareholders today.
