ANNOUNCEMENT

The board of directors (the "Board") of Guangdong Kelon Electrical Holdings Company Limited (the "Company") would like to announce that Mr Xu Tiefeng has resigned as President of the Company with effect from 30 January 2002. Reference is also made to the announcement dated 24 December 2001. Mr Xu has resigned as an executive director of the Company with effect from 23 December 2001. Mr Liu Cong Meng, who was appointed as an executive director of the Company on 23 December 2001 and who is the current Vice President of the Company, will take over Mr Xu's position as President of the Company. The Board of the Company hereby expresses its gratitude to Mr Xu for his contribution to the Company.
