Announcement on Resolutions of the Supervisory Committee

A meeting of the supervisory committee of Guangdong Kelon Electrical Holdings Company Limited (the “Company”) was held by way of written resolutions on 11 November 2002. The meeting was attended by all of the three supervisors of the supervisory committee and was held in accordance with the Company Law of the People’s Republic of China and the Company’s articles of association. The following matters were discussed at the meeting:

1. The resignation of Mr. Wang Kang Ping as supervisor of the Company due to his personal work changes was considered and approved and his resignation shall not take effect until the day upon which the appointment of the new supervisor has been approved by the shareholders of the Company at the extraordinary general meeting of the Company (the “EGM”);

2. The nomination of Mr. Bai Yun Feng for appointment as the new supervisor of the Company was considered and approved and such nomination shall be put forward for approval by the shareholders of the Company at the EGM; and

3. The proposed amendments to the Company’s articles of association were considered and approved and such amendments shall only take effect after obtaining the approval of the shareholders of the Company at the EGM.

Brief Particulars of the Proposed New Supervisor

Mr. Bai Yun Feng, aged 40, graduated from Beijing Mechanical Engineering College and obtained a bachelor degree in automated systems. He also graduated from Nan Kai University as a post-graduate student in western economics. Mr. Bai previsouly worked as an engineer with Beijing General Mechanical Research Institute, the deputy factory director of Shenzhen Hua Mei Chemical Company Limited, the deputy head of China Packaging Import and Export Corporation and the assistant to the senior president of Beijing Greencool Environmental Protection Engineering Co Ltd. He is currently the deputy general manager of Guangdong Kelon Air-conditioner Company Limited, a subsidiary of the Company.
