Notice of Annual General Meeting in Medistim ASA
(Oslo, 6th of April 2020) Medistim ASA (OSE: MEDI), a niche market leader within ultrasound technology with headquarters in Norway, that develops and commercializes medical equipment for use within cardiac, vascular and transplant surgery, announces the Annual General Meeting for the company.
The Annual General Meeting will take place on the 28th of April 2020 at 10.00 and is held at Medistim’s offices at Økernveien 94 in Oslo. Attached are the agenda for the meeting, the attendance form and the annual report for 2019.
Due to the COVID-19 pandemic, it is encouraged that shareholders do not physically attend the general meeting. Instead, shareholders are encouraged to give authorization to the Chairman of the Board by proxy, with and without voting instructions. By using a proxy with voting instructions, the shareholders will vote on the specific issues without personal attendance. For further information on the use of proxy, see general information at the bottom of the notice and enclosed proxy forms.
With reference to the stock exchange announcement on the 3rd of April, the Board of Directors has decided to change its dividend proposal for the financial year 2019 from a fixed dividend to an authorization to the board of directors to resolve a dividend based on the financial statements for the financial year 2019. The proposed authorization will be limited to NOK 2.75 per share, equal to the initially proposed dividend, with a term until the annual general meeting in 2021.
