Joint Press Release

As of today, Fiat Chrysler Automobiles N.V., DI.VI. Finanziaria di Diego Della Valle & C. S.r.l., Diego Della Valle & C. S.r.l., Mediobanca – Banca di Credito Finanziario S.p.A., Pirelli & C. S.p.A. and Intesa Sanpaolo S.p.A., which together have held 38.9% of the share capital of RCS Mediagroup S.p.A. for more than twelve months, have entered into an agreement (the "Agreement") in respect of: (i) the preparation and submission of lists of candidates for the positions of director and statutory auditor, and (ii) the exercise of voting rights at the annual general meeting of the company called to take place on 23 April 2015. The candidates for the position of director are: Maurizio Costa, Pietro Scott Iovane, Teresa Cremisi, Laura Cioli, Gerardo Braggiotti and Tom Mockridge. The candidates for the position of standing auditor are as follows Gabriella Chersicla, Enrico Maria Colombo and Maurizio Dattilo; while those for the position of alternate auditor are: Ugo Rock, Barbara Negri and Simone Tini. The Agreement will terminate at the end of the annual general meeting.
