Subject: Communication pursuant to Article 41, paragraph 2, letter c), of the Regulation adopted by CONSOB with resolution no. 11971 of May 14, 1999 (the "Issuers' Regulation").

With reference to the "Voluntary total public exchange offer on the ordinary shares of Mediobanca – Banca di Credito Finanziario S.p.A. promoted by Banca Monte dei Paschi di Siena S.p.A. pursuant to Article 102, paragraph 1, of Legislative Decree February 24, 1998, no. 58" and given that Aurelia S.r.l. ("Aurelia") adheres to the "Consultation agreement between Mediobanca S.p.A. shareholders stipulated pursuant to Article 122 of Legislative Decree February 24, 1998, no. 58" ("Consultation Agreement"); we communicate that:

1. pursuant to Article 41, paragraph 2, letter c), point 1), the following transactions involving Mediobanca Shares have been carried out:
